Terms of Service
Please read these terms and conditions carefully before using our products and services.
1. Introduction
Welcome to Shanghai CM Environmental Technology Co., Ltd. ("Shanghai CM", "we", "us", or "our"). By accessing our website, purchasing our products, or using our services, you agree to be bound by these Terms of Service ("Terms").
These Terms apply to all visitors, users, and customers of Shanghai CM. If you disagree with any part of these terms, please do not use our website or services.
2. Definitions
- "Products" refers to all membrane products, water treatment systems, and related equipment manufactured or sold by Shanghai CM.
- "Services" refers to installation, maintenance, consultation, and other services provided by Shanghai CM.
- "Customer" refers to any individual or entity that purchases Products or Services from Shanghai CM.
- "Website" refers to the official website of Shanghai CM and all its subdomains.
3. Product Orders and Delivery
All orders are subject to acceptance and availability. We reserve the right to refuse any order placed with us. Once an order is confirmed, we will provide an estimated delivery timeframe.
Delivery times are estimates only and may vary depending on production capacity, shipping conditions, and customs clearance for international orders. Shanghai CM is not responsible for delays caused by customs, shipping carriers, or other factors beyond our control.
Risk of loss and title for Products pass to the Customer upon delivery to the carrier. It is the Customer's responsibility to inspect Products upon receipt and report any damages or discrepancies within 7 days.
4. Payment Terms
Payment terms are specified in the quotation or invoice provided to the Customer. Unless otherwise agreed in writing, standard payment terms require a 30% deposit upon order confirmation and the remaining 70% before shipment.
For custom-made Products or large orders, we may require different payment terms, which will be specified in the quotation.
All prices are exclusive of taxes, duties, and shipping costs unless explicitly stated otherwise. The Customer is responsible for all applicable taxes and duties imposed by their local government.
5. Warranty and Returns
Shanghai CM warrants that Products will be free from defects in materials and workmanship under normal use for a period of 12 months from the date of delivery, unless otherwise specified in writing.
This warranty does not cover damage resulting from improper installation, maintenance, or operation; unauthorized modifications; use beyond rated capacity; or normal wear and tear.
To claim warranty service, Customers must contact Shanghai CM with proof of purchase and a detailed description of the defect. Shanghai CM will, at its option, repair or replace defective Products, or refund the purchase price.
Returns must be authorized in writing by Shanghai CM before any Product is returned. Unauthorized returns will not be accepted.
6. Intellectual Property
All intellectual property rights in the Products, including patents, trademarks, trade names, copyrights, and trade secrets, are owned by Shanghai CM or its licensors.
The purchase of Products does not grant the Customer any rights to reproduce, modify, or create derivative works based on the Products or any technology embodied in the Products.
Customers may not remove, alter, or obscure any proprietary notices on the Products or accompanying documentation.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Shanghai CM's total liability for any claims arising out of or related to these Terms shall not exceed the amount paid by the Customer for the Products or Services giving rise to the claim.
In no event shall Shanghai CM be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so the above limitations may not apply to you.
8. Force Majeure
Shanghai CM shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
In the event of a force majeure, Shanghai CM will notify the Customer as soon as reasonably possible and will resume performance as soon as reasonably practicable.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to any principles of conflicts of law.
Any dispute arising out of or in connection with these Terms shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (Shanghai International Arbitration Center) for arbitration in Shanghai in accordance with its arbitration rules.
The arbitration award shall be final and binding on both parties.
10. Amendments to Terms
Shanghai CM reserves the right to modify these Terms at any time. Changes will be effective upon posting on our website or notification to Customers.
Continued use of our Products or Services after such modifications constitutes acceptance of the updated Terms.
It is the Customer's responsibility to review these Terms periodically for changes.
